These Terms of Service govern the use of Code Meets Bagel's website, products, and services. By visiting our website or working with us, you agree to these terms.
Services
Code Meets Bagel provides custom software development, automation systems, consulting, and related technical services. Specific project deliverables are defined in agreements, proposals, or invoices shared with each client.
Client Responsibilities
Clients agree to:
- Provide accurate business information
- Share required assets, content, or access when requested
- Ensure they have permission to share any data with us
- Use all delivered systems in compliance with applicable laws, regulations, and industry standards (for example: HIPAA, PCI, privacy laws, financial compliance rules)
AI and Automation Usage
Some services include AI tools, integrations, or automation. Code Meets Bagel:
- Does not use client data to train public AI models
- May use private or secured models to provide requested functionality
- Builds systems based on the tools and platforms chosen by the client
Clients are responsible for proper use of the system once delivered, including how it interacts with end users or stores user data.
Payments and Billing
Payment terms are defined per project. Unless otherwise specified:
- Work begins after an initial payment or signed agreement
- Late invoices may pause work until payment is resolved
- Deposits are generally non refundable once work has started, due to the custom nature of the service
In special cases, payment platforms or agreements may specify additional terms.
Intellectual Property
Upon full payment, clients receive rights to use the delivered software, workflows, or documentation for their business. Code Meets Bagel may retain ownership of internal frameworks, reusable components, or general automation logic used to build the system.
This does not restrict the client's ability to use the delivered system commercially.
Limitations
Code Meets Bagel is not liable for:
- Business losses resulting from misuse of systems
- Third party platform outages or policy changes
- Errors in data provided by the client
- Interruption caused by external vendors chosen by the client
We provide reasonable support during and after delivery but cannot guarantee performance of tools we do not control.
Support and Maintenance
Support availability depends on the service agreement, retainer, or package purchased. Projects delivered without an active support plan are handed off with instructions and final documentation.
Ongoing maintenance is not included unless paid for separately.
Termination
Both parties may end services in writing. Completed work and incurred costs are still billable. If a project is canceled early, completed portions or partially completed deliverables may be delivered after final payment.
Privacy
Our privacy practices are explained in our Privacy Policy. Clients must comply with local privacy laws when using any software or automation we build.
Disputes
Any dispute will be handled under Florida law. Both parties agree to attempt resolution informally before considering legal action or formal dispute processes.
